At the request of Consob, Mediobanca hereby wishes to make known that it has not entered into any agreement with the Ligresti family in connection with the planned merger between the Unipol and Premafin groups. Mediobanca would also like to reiterate that in connection with the planned merger it has entered into following agreements, both of which have been duly disclosed to the market:

• with Premafin, a debt restructuring agreement (in conjunction with the other banks in the pool);
• with FonSai and UGF, mandates to promote the underwriting syndicates for the respective capital increases, and the underwriting contracts themselves (in conjunction with the other banks participating in the syndicate).
