Filing of list of candidates for appointment to the Board of Directors of Assicurazioni Generali
Mediobanca has today submitted a list of twelve candidates for appointment to the new Board of Directors of Assicurazioni Generali, the appointment of which is included on the agenda for the company's Annual General Meeting to be held on 23 and 24 April 2025.
On 29 January 2025, the current Board of Assicurazioni Generali made a statement to the effect that “as the reference regulatory framework for the renewal of the Board of Directors is not yet complete and the expected timing is not currently compatible with the authorization and approval process required to amend the Company’s bylaws”, it had decided "not to proceed with the presentation of a slate for the renewal of the Board of Directors, by the outgoing Board”.
As a result of the above, Mediobanca launched a process, conducted with the support of a specialist advisor, to compile a list of candidates for the position of Director of the company for the 2025-27 period.
Nine of the ten Directors currently in office, appointed from the list submitted by the outgoing Board in 2022, which received the most votes from shareholders, and broad support from institutional investors, are included again in the new list. In particular, the figures that have led the company (the Chairman and Chief Executive Officer), along with the management team and the Board's support, to deliver results that have exceeded the 2022-24 Plan results, are standing for reappointment, on the back of double-digit growth in earnings (EPS CAGR: +11.3%, vs a Plan target of 6-8%) and aggregate dividend distribution of €5.5bn (vs a target in the €5.2-5.6bn range), plus €1bn in share buybacks, for a Total Shareholder Return of above 100% in the last 3Y, the highest among the company's main peers. The list of candidates is as follows: Andrea Sironi (candidate for the position of Chairman), Clemente Rebecchini, Philippe Donnet (candidate for the position of Chief Executive Officer), Luisa Torchia, Lorenzo Pellicioli, Clara Hedwig Frances Furse, Antonella Mei-Pochtler, Patricia Estany Puig, Umberto Malesci, Alessia Falsarone, Elena Vasco, and Giorgio Valerio.
The list reflects the recommendations made by the Board of Directors of Assicurazioni Generali in its “Guidance opinion to the shareholders on the quantitative and qualitative composition of the Board of Directors to be appointed for the 2025-2027 three-year period”.
